About CATD

Cooperative Association of Tractor Dealers, Inc.

The Cooperative Association of Tractor Dealers, Inc. ("CATD") is a non-profit cooperative owned by forty-nine Caterpillar equipment dealers. It is the member-manager of two wholly owned subsidiaries, DCAT, LLC and CATD Exchange Services, LLC (“CES”).

CATD began operations in 1981 as a captive funding company. Its mission was to provide its Caterpillar dealer patrons with consistent, low cost, un-secured short-term financing to fund their acquisition of inventory and other normal business expenses.

In 1992 it became the manager of a second loan program offered by Dealers Capital Access Trust, Inc. (“DCAT, Inc.”). The mission of DCAT, Inc. was also to provide short-term financing to Caterpillar dealers, but primarily on a secured basis. In 2008, CATD transitioned its direct loan operations to DCAT, Inc., but continued to provide management services to DCAT, Inc.

DCAT, Inc. merged with DCAT, LLC on July 10, 2012. DCAT, LLC (as the survivor of the merger) continues the mission of CATD and DCAT, Inc. i.e., to provide reliable short-term funding to Caterpillar dealers at competitive rates.

CES was formed in July 2011 to provide qualified intermediary (“QI”) services to CATD members and their affiliates.

As a cooperative, CATD distributes the net earnings of its member loan and QI programs to its patrons each year as Patronage Dividends. The distribution of Patronage Dividends has the effect of reducing the interest costs and/or QI fees incurred by CATD’s patrons.

Eligibility for Membership: Shareholder status in CATD (also referred to as "membership") is open to any heavy equipment dealer which is (1) a party to a sales and service agreement with Caterpillar, (2) a licensee of the right to do business under a sales and service agreement with Caterpillar or (3) the wholly owned subsidiary of a company which is a party to a sales and service agreement with Caterpillar.  In addition, a company which is a party to a sales and service agreement with Caterpillar and owns (directly or through controlled entities) 100% of the ownership interests of a Caterpillar heavy equipment dealer may become a member.

No member is permitted to own more than one share of CATD stock and each member has one vote on each matter presented to the shareholders. 

CATD is owned by forty-nine Caterpillar equipment dealers.
